Mergers and Acquisitions

  • April 2010 — Our Mergers and Acquisitions Group handled a transaction in which our client, SkyBridge Capital, a hedge fund seeder, purchased Citigroup's Hedge Fund Business. The deal included the purchase of Citi Alternative Investments' fund of funds, hedge fund seeding and advisory businesses with $4.2 billion worth of assets under management.
  • August 2010 — Our Mergers and Acquisitions Group represented the Harrison Group, a leading marketing and strategic research consulting firm, on the sale of its business to YouGov plc. YouGov is a global market leader in survey and market research, political polling, panel management, research operations and business consulting.

Real Estate

  • May, 2010 — Sadis & Goldberg represented a group of investors who purchased a portfolio of 25 buildings, containing approximately 1,800 residential units, from a large private equity fund. In connection with the purchase, we negotiated the modification of the loan terms of the portfolio with Fannie Mae which was very favorable to our client. The modification resulted in the extension of the maturity date without the need to pay down any principal on the loans.
  • August, 2010 — The Real Estate Group represented the Seller of a multifamily apartment building containing approximately 76 residential units located in Harlem, New York. The apartment building is a HUD project and is subject to a housing assistance payment contract. With the help of Sadis & Goldberg, the Seller was able to obtain a special resolution from the New York City Council for the sale of the building that was required pursuant to certain restrictions and covenants that ran with the land.
  • August, 2010 — The Real Estate Group represented the owner of a multifamily apartment building containing approximately 915 residential units located in Queens, New York in connection with financing of an $83,100,000 loan.
  • November, 2010 — Sadis & Goldberg represented a group of investors who purchased a portfolio of 25 buildings, containing approximately 1,800 residential units, from a large private equity fund. In connection with that purchase, we negotiated the modification of the loan terms of the portfolio with Freddie Mac which was very favorable to our client. The modification resulted in the extension of the maturity date without the need to pay down any principal on the loans.
